These Terms of Service ("Terms") govern your access to and use of https://www.adfirm.net (the "Site"), operated by Adfirm IT Solutions ("we", "us", or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please discontinue use of the Site.

Note on scope. These Terms govern your use of this Site only. Engagements between Adfirm IT Solutions and clients are governed by separate written agreements (Master Services Agreement, Statement of Work, engagement letter, or equivalent). In the event of a conflict between these Terms and a signed engagement agreement, the signed agreement controls.

1. Use of the Site

You may use the Site for lawful informational purposes — to learn about our services, read our blog, view case studies, contact us, and subscribe to our newsletter. You agree not to:

  • Use the Site in any way that violates applicable law or regulation
  • Attempt to gain unauthorized access to any part of the Site, its servers, or related infrastructure
  • Interfere with or disrupt the Site, including by introducing malware, conducting denial-of-service attacks, or probing for vulnerabilities without prior written authorization
  • Scrape, harvest, or systematically extract content for commercial use without prior written permission
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the contact form or newsletter signup to send unsolicited advertising, "spam", or material that is unlawful, harassing, defamatory, or otherwise objectionable

2. Intellectual property

All content on the Site — including text, graphics, logos, icons, images, SVG illustrations, blog posts, case studies, video, audio, downloads, and the underlying code — is the property of Adfirm IT Solutions or its licensors and is protected by Philippine and international copyright, trademark, and other intellectual property laws.

You may view, share, and quote short excerpts of our content for personal, non-commercial purposes with proper attribution and a link back to the original source. You may not reproduce, modify, distribute, or republish substantial portions of our content without our prior written permission.

"Adfirm", "Adfirm IT Solutions", and the Adfirm logo are unregistered trademarks of Adfirm IT Solutions. All other trademarks, logos, and brand names referenced on the Site are the property of their respective owners.

3. User submissions

When you submit information through the contact form, subscribe to the newsletter, or otherwise voluntarily provide content to us through the Site, you grant Adfirm IT Solutions a non-exclusive, royalty-free, worldwide license to use that content for the purpose of responding to your inquiry, providing requested services, or operating the Site, in accordance with our Privacy Policy.

You represent and warrant that any content you submit is accurate, does not infringe the rights of any third party, and is not unlawful or otherwise objectionable.

4. Third-party links and services

The Site may contain links to third-party websites, services, or resources. We do not control, endorse, or assume responsibility for the content, privacy practices, or actions of any third parties. Your interactions with third-party sites and services are governed by their own terms and policies.

5. Disclaimers

The Site and all content on it are provided "as is" and "as available" without warranties of any kind, either express or implied, to the maximum extent permitted by applicable law. We disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, and availability.

Blog posts, case studies, guides, and other content on the Site are provided for general informational purposes. They do not constitute professional advice — including but not limited to marketing, legal, tax, financial, or technical advice — for your specific situation. You should consult with qualified professionals before making decisions based on information found on the Site.

6. Limitation of liability

To the maximum extent permitted by applicable law, Adfirm IT Solutions and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to your use of the Site, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses, even if we have been advised of the possibility of such damages.

Our total aggregate liability for any claim arising out of or relating to the Site (excluding services delivered under a separate engagement agreement) will not exceed one hundred US dollars (USD $100) or the equivalent in your local currency.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. In such cases, liability is limited to the maximum extent permitted by law.

7. Indemnification

You agree to indemnify and hold harmless Adfirm IT Solutions and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the Site, your violation of these Terms, or your violation of any third-party right.

8. Modifications to the Site and Terms

We may modify, suspend, or discontinue the Site (or any portion of it) at any time, with or without notice. We may also revise these Terms from time to time. The "Last updated" date at the top of this page indicates when the Terms were last revised. Continued use of the Site after changes constitutes acceptance of the revised Terms.

9. Termination

We may suspend or terminate your access to the Site at any time and for any reason, including for breach of these Terms. Sections that by their nature should survive termination (including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

10. Governing law and dispute resolution

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or your use of the Site will be brought exclusively in the competent courts of the Philippines, and you consent to the personal jurisdiction of those courts.

11. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

12. Entire agreement

These Terms, together with our Privacy Policy and any signed engagement agreement, constitute the entire agreement between you and Adfirm IT Solutions regarding your use of the Site, and supersede all prior agreements and understandings.
